Promoter group held 6,998,117 shares (50.5% of paid-up capital) but abstained from voting on land sale and related-party transactions per SEBI (LODR) Regulations 37A. Public shareholders voted over 99.99% in favor of all five resolutions: land disposal (special resolution), two material related-party transactions with Victora Stock-Invest Private Limited and Victura Technologies Private Limited (ordinary resolutions), re-appointment of Executive Chairman Ashok Kumar Kanodia (ordinary resolution), and adoption of audited financial statements for FY26 (ordinary resolution). Only 52 votes cast against financial statements; 102 votes against each other resolution. Quorum of 67 members present. Statutory auditor's report contained no adverse qualifications.
